THIS SWEEPSTAKES IS OFFERED ONLY IN THE 50 STATES OF THE UNITED STATES AND THE DISTRICT OF COLUMBIA (“D.C.”), AND IS INTENDED FOR PARTICIPATION IN THOSE AREAS ONLY. THIS SWEEPSTAKES SHALL BE CONSTRUED AND GOVERNED ACCORDING TO THE LAWS OF THE UNITED STATES AND THE STATE OF COLORADO. PLEASE DO NOT PROCEED IF YOU ARE NOT A PERMANENT LEGAL RESIDENT OF ONE OF THE 50 STATES OF THE UNITED STATES OR D.C. AND AT LEAST 13 YEARS OF AGE OR OLDER AS OF March 10, 2008.

1.        Eligibility: The WIN A $250 MOBILE SHOPPING SPREE SWEEPSTAKES! (“Sweepstakes”) is only open to permanent legal residents of the fifty (50) states of the United States (and the D.C.), who are physically located and residing therein, and who are 13 years of age or older as of March 10, 2008. Employees of 2B Wireless, Inc. (“Sponsor”), Sprint Communications Company, LP (“Sprint”) is not a sponsor. Sprint, the Sweepstakes administrator, their advertising or promotion agencies, those involved in the production, development, implementation or handling of this Sweepstakes, any agents acting for, or on behalf of the above entities, their respective parent companies, officers, directors, subsidiaries, affiliates, licensees, service providers, prize suppliers, any other person or entity associated with this Sweepstakes (collectively “Sweepstakes Entities”) and/or members of their immediate families (spouses, children, siblings, parents) and/or persons living in the same household as such persons, whether or not related, are ineligible to enter this Sweepstakes.

2.        How to Enter: This Sweepstakes begins at 12:01 a.m. Pacific Time (“PT”) on March 10, 2008, and ends at 11:59 p.m. PT on November 29, 2008 (“Sweepstakes Period”). This Sweepstakes consists of nineteen (19) bi-weekly sweepstakes: Each bi-weekly sweepstakes begins at 12:01 a.m. PT on a Sunday and ends after thirteen consecutive days at 11:59 p.m. PT on a Saturday. You must be registered as a “Get First Dibs” registrant of Sprint’s Mobile Shopper (“SMN”) to be eligible to win a prize. IF YOU ARE REGISTERED AS A “GET FIRST DIBS” REGISTRANT WITH SMN PRIOR TO THE START OF THIS SWEEPSTAKES, YOU ARE AUTOMATICALLY ENTERED. If you are not registered as a “Get First Dibs” registrant with SMN, access the SMN registration page located at http://www.sprint.com/mobileshopper (“Web Site”) and follow the online instructions to complete and submit the registration form. You may also register as a “Get First Dibs” registrant with SMN by visiting Sprint Mobile Shopper on your Mobile Web capable Sprint handset.

3.        To enter by mail, send a 3 x 5 card with your full name, address and mobile phone number and, if available, e-mail address, to: "WIN A $250 MOBILE SHOPPING SPREE SWEEPSTAKES!" 2B Wireless, 1007 Pearl Street, Suite 290, Boulder, CO 80302. Only one entry per household. One entry per mobile number. Subsequent entries from a single mobile number will delete earlier entries from that mobile number. All entries must be received by 12:00 PM, Pacific Time, on bi-weekly end date specified on sweepstakes entry page. Entrants must use their own name. Copies or other mechanical reproductions, facsimiles, entries containing technical or electronic reproductions, e-mail entries containing attached files, mail entries stamped with a private postage meter, and entries which do not comply with these rules are not eligible and will be rejected. Entries become the property of Sponsor and will not be returned. Sponsor is not responsible for lost, incomplete, damaged, illegible, late, postage due or misdirected entries, or for errors in mechanical transmission, technical difficulties or inability to transmit Internet entries.

4.        Information required on the registration form consists of your mobile number, and at least one category of interest for which you would like to receive bi-weekly text alerts from SMN. Standard text messaging rates apply. All required Registration Information must be completed in full. Participants can only register as a “Get First Dibs” registrant with SMN under one (1) mobile number. Once a mobile number has been registered by a participant, that mobile number cannot be used by any other person for this Sweepstakes. Only the participant registered under a particular mobile number may participate in this Sweepstakes. Limit one (1) registration per mobile number per person. Upon successfully registering as a “Get First Dibs” registrant with SMN, you will automatically be entered into this Sweepstakes (“Entry”). Limit one (1) Entry per person/mobile number per bi-weekly sweepstakes. Entries by the same person in excess of the stated limit will be disqualified. In order to be eligible for a particular bi-weekly sweepstakes, you must have registered as a “Get First Dibs” registrant with SMN no later than the end time and date for that bi-weekly sweepstakes. Proof of delivery or receipt of your registration for “Get First Dibs” with SMN will not be deemed by Sponsor as proof of entry into the Sweepstakes. Any attempted form of entry into this Sweepstakes other than as described herein is void.

5.        Prizes/Odds of Winning. Each of the nineteen (19) bi-weekly sweepstakes will award a $250 Mobile Shopping Spree to one winner. This prize cannot be exchanged/redeemed for cash or combined with any other offer and is subject to stated terms and conditions.

Total ARV of all prizes: $4750.00. Odds of winning a prize for a particular bi-weekly sweepstakes depend on the total number of eligible Entries (“Get First Dibs” registrations with SMN) at the end time and date for that particular bi-weekly sweepstakes.

General Prize Conditions: In the event that SMN merchants are not able to fulfill orders made with prize credits, or in the event that merchandise is not available for any reason beyond Sponsor’s control, then awarding of the prize shall constitute full satisfaction of Sponsor’s prize obligation to winner and no additional compensation will be awarded (except at Sponsor’s sole discretion). Each winner will be solely responsible for all taxes on prize won. Sweepstakes administrator is not the supplier or guarantor of any prize. Limit one (1) prize per person/family/household.

6.        Drawings and Notification of Winners: For each bi-weekly sweepstakes, one (1) potential winner will be randomly selected from all eligible Entries (“Get First Dibs” with SMN registrants) at the end time and date for that particular bi-weekly sweepstakes in a drawing held on or about two (2) days later, conducted by Sponsor. Non-winning Entries (“Get First Dibs” with SMN registrants) will be retained for subsequent bi-weekly sweepstakes drawings, as applicable. If a winner is a resident of a jurisdiction that deems him/her to be a minor, prize may be awarded in the name of his/her parent/legal guardian. Each winner (or, if a resident of a jurisdiction that deems him/her to be a minor, his/her parent or legal guardian) will be notified by phone and/or email within approximately two (2) weeks of the drawing date. If a potential winner is contacted by email for verification purposes, he/she will have three (3) business days within which to respond to the notification email, or his/her Entry will be disqualified and his/her prize forfeited, and an alternate potential winner may be selected. If an entrant changes his/her email address or other contact information after he/she registers, it is his/her sole responsibility to update his/her Registration Information by logging in and making changes in his/her SMN account at http://www.sprint.com/mobileshopper prior to the end date of the Sweepstakes. Failure to update Registration Information may affect a potential winner’s ability to receive a prize. If a potential winner cannot be reached after a reasonable effort has been exerted, he/she is found to be ineligible, he/she cannot or does not comply with these Official Rules, or if a prize or prize notification is returned as undeliverable, such potential winner will be disqualified, and an alternate potential winner may be selected at Sponsor’s sole discretion.

7.        General Conditions: This Sweepstakes is subject to these Official Rules and all federal, state and local laws and regulations (collectively “Rules and Laws”). Once submitted, Registration Information becomes the sole property of Sponsor and will not be returned. Notwithstanding anything to the contrary in Sponsor’s terms and conditions located at http://www.mshopper.net/TermsOfUse.jsp, except where prohibited by law, registering with SMN constitutes permission of such winner (or his/her parent/legal guardian if he/she is a resident of a jurisdiction that deems him/her to be a minor) for Sponsor to use, without notice or further compensation, worldwide, and in perpetuity, in any and all forms of media, now known and hereafter devised, including, without limitation, on the Web Site, such winner’s first name, last initial, city, and state for purposes of advertising, trade, promotion and publicity. Sponsor reserves the right, at its sole discretion, to disqualify any individual it finds to be tampering with the registration process or the operation of Sweepstakes or the Web Site or any Web page or Web banner ad related to Sweepstakes; to be acting in violation of the Official Rules; or to be acting in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Any person attempting to defraud or in any way tamper with Sweepstakes will be ineligible to win a prize and will be prosecuted to the full extent of the law. If, for any reason, Sweepstakes is not capable of running as originally planned, Sponsor, at its sole discretion, reserves the right to cancel, suspend or modify Sweepstakes thereof and conduct any or all the drawings from all eligible Entries (registered SMN members) for that particular monthly Sweepstakes or all monthly Sweepstakes prior to and/or after (as appropriate) the action taken by Sponsor or in any manner that is fair and equitable. In case of a dispute over the identity of the entrant associated with a winning Entry, the authorized account holder of the email address associated with that Entry will be deemed the entrant. The "authorized account holder" is deemed to be the natural person who is assigned an email address by an Internet access provider, service provider or other online organization that is responsible for assigning e-mail addresses for the domain associated with the submitted email address. Said entrant must comply with these Official Rules and, at Sponsor’s sole discretion, may be required to provide proof of ownership of the email account.

8.        Disclaimers: Sweepstakes Entities are not responsible or liable for Entries (“Get First Dibs” with SMN registrants) that are entered by other than human means (such as by an automated computer program or any non-human mechanism, entity, or device), in excess of the stated limit, or for Entries (“Get First Dibs” with SMN registrants) that are illegible, late, destroyed, lost, misplaced, stolen, misdirected, tampered with, incomplete, deleted, damaged, incomplete, or otherwise not in compliance with these Official Rules, and all such Entries will be disqualified. By registering for “Get First Dibs” with SMN (entering Sweepstakes), each registrant/entrant agrees and acknowledges to be bound by the Rules and Laws, as well as the decisions of Sponsor which are final and binding in all respects; to waive any rights to claim ambiguity with the Rules and Laws, and that Sweepstakes Entities shall have no responsibility or liability (including, but not limited to, liability for any property loss, damage, personal injury or death) in connection with: participation in Sweepstakes; acceptance/possession (including, but not limited to, delays by shipping companies), defects, and/or use/misuse of a prize; discontinued prizes; human error; incorrect or inaccurate transcription of Registration Information; any technical malfunctions of the telephone network, computer online system, computer dating mechanism, computer equipment, software, or internet service provider utilized by Sweepstakes; interruption or inability to access Sweepstakes, Web Site, or any online service via the internet due to hardware or software compatibility problems; any damage to entrant’s (or any third person’s) computer and/or its contents related to or resulting from any part of Sweepstakes; any lost/delayed data transmissions, omissions, interruptions, defects; and/or any other errors or malfunctions, even if caused by the negligence of one of the Sweepstakes Entities. Each entrant further agrees to indemnify and hold harmless Sweepstakes Entities from any and all liability resulting or arising from Sweepstakes and to release all rights to bring any claim, action or proceeding against Sweepstakes Entities, and hereby acknowledge that said Sweepstakes Entities have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to a prize, including express warranties provided exclusively by a prize supplier that may be sent along with a prize. Sweepstakes Entities shall not be liable for any injury, damage, loss, expense, accident, delay, inconvenience or irregularity that may be caused or contributed to (1) by any wrongful, negligent or unauthorized act or omission on the part of any of the prize suppliers or any of their agents, servants, employees or independent contractors, (2) by any wrongful, negligent or unauthorized act or omission on the part of any other person or entity not an employee of Sponsor, or (3) by any other cause, condition or event whatsoever beyond the control of Sponsor or its parents, subsidiaries and affiliated companies.

9.        Rules/Winners List: For a copy of these Official Rules or the Winners List, send a self-addressed, stamped envelope to: WIN A $250 MOBILE SHOPPING SPREE SWEEPSTAKES! ”Rules”/”Winners List” (specify which), 1007 Pearl Street, #290, Boulder, CO 80302. All requests must be received by January 2, 2009. The Official Rules will also be accessible from the Web Site during the Sweepstakes Period. The Winners List may be posted on the Web Site.
